H1B transfer from India and its rejection

I got my H1B stamped on Dec-2012 with Company A. Now Company A does not have any opportunity in USA. I have to still travel on this visa.

Company B is ready to transfer my H1B while I am still in India.

Question:

What are the chances that my H1B transfer to Company B will be rejected by USCIS. I do have my visa stamped upto Sep-2015.

Requesting immediate assistance on this.

The chances of rejection depend on the job profile and the company B. Once the H1B is approved by USCIS you could travel to US with the existing VISA stamp and the new approval notice.
